Terms of Use - Viral Day

1. Acceptance of Terms

By accessing or using the Viral Day platform (hereinafter, "Platform" or "Service"), you agree to be bound by these Terms of Service. If you do not agree with any of these terms, please do not use the Platform.

2. Platform Description

The Viral Day Platform, operated by VIRAL DAY LLC, is an AI content studio that offers users: (i) the creation of viral clips from long videos, turning them into short-form content with face detection and audio transcription; (ii) AI image generation from text or reference images; (iii) AI video generation from text or an image; and (iv) editing, captioning, translation, dubbing, scheduling and publishing tools for supported social networks. The availability of each feature and of the AI models may vary by plan and is shown on the pricing page and inside the Platform.

2.1 Plans, Credits, and Watermark

Removing the watermark from exported clips is a benefit exclusive to active paid plans. As long as the user maintains an active plan, exported clips will not contain the Platform's watermark.

Credits are the Platform's unit of consumption and are deducted for video analysis when creating clips, for AI image generation and for AI video generation, at the rates shown on the pricing page and displayed in the Platform before each generation. Holding or purchasing credits, on its own, does not remove the watermark from clips and does not replace the need for an active plan. If the user holds credits but does not have any active paid plan, exported clips will continue to display the Platform's watermark.

If a plan is canceled, expires, or is suspended, the watermark-removal benefit ends, even if the user still has credits available.

3. Intellectual Property

All intellectual property rights related to the Platform, including but not limited to software, algorithms, trademarks, logos, designs, and functionalities, belong to VIRAL DAY LLC or its licensors. Users retain ownership of their original content but grant us necessary rights to process and improve our services.

4. Usage Rules

Users agree to:

Use the Platform lawfully and ethically
Not upload content that violates copyright, privacy rights, or contains illegal material
Not attempt to reverse engineer, hack, or disrupt the Platform
Not create content that is defamatory, hateful, or violates our community guidelines
Respect other users and maintain a positive community environment
Take responsibility for actions performed on the Platform by AI apps you connect to your account (for example, via the MCP server), including clip creation and the resulting credit consumption: those actions are deemed performed by you and are your responsibility

4.1 Prohibition of Pornographic Content

It is strictly prohibited to use the Platform's image and/or video generation features, including its artificial intelligence features, to create, attempt to create, edit, upload, or publish pornographic, sexually explicit, or sexualized nude content. This prohibition includes, but is not limited to:

Images or videos depicting sexual acts, whether real or simulated;
Sexualized content using the likeness of real people without their consent (such as intimate deepfakes);
Any sexual or sexualized content involving children or adolescents, or people who appear to be minors;
Prompts or attempts to bypass the Platform's safety filters in order to generate such content.

Violating this rule will result in the permanent ban of the user's account, without prior notice, without any refund of amounts paid, including the current subscription period and unused credits, and without the possibility of creating a new account on the Platform. Content involving minors will also be reported to the competent authorities.

5. Artificial Intelligence and Generated Content

Our platform uses artificial intelligence models for face detection, audio transcription and image and video generation, which are in a constant process of improvement.

By uploading a video to the platform, you agree to contribute to the improvement of our speech recognition and transcription models.

This contribution does not extend to data and content received or created through AI apps you connect (for example, via the MCP server): they are processed only to run the requested feature, with the security and moderation measures described in the Privacy Policy, and are not used by VIRAL DAY LLC to train artificial intelligence or machine learning models, including the speech recognition and transcription models.

Face data processed by the Platform, such as the photos and videos with faces that you upload and the face positions worked out to frame clips, is used only to run the features you request, as described in Section 12.4 of the Privacy Policy, and is not used to train facial recognition models or to identify people.

5.1 AI Image and Video Generation

The Platform lets you generate images and videos with artificial intelligence from text prompts, from reference images you upload, or from a combination of both. By using these features, you acknowledge and agree that:

Third-party models. Generations are run by AI models developed by third parties and integrated into the Platform. The name of the selected model is shown before each generation. Your prompts, reference images and parameters are transmitted to those providers solely to run the requested generation, as described in the Privacy Policy.
Results. AI-generated content is probabilistic: the Platform does not guarantee that the output will match your request exactly, or that it will be original, exclusive, error-free or fit for a particular purpose. Credits are deducted when each generation is submitted; generations that fail due to a technical error are refunded automatically.
Your references. You represent that you hold all necessary rights to the reference images you upload, including the consent of any people depicted, and that your intended use does not infringe third-party image, copyright, trademark or personality rights.
Generated content. To the extent permitted by applicable law, VIRAL DAY LLC does not claim ownership of the images and videos generated at your request, and you may use them, including commercially, at your own risk and subject to the model providers' terms and applicable law. VIRAL DAY LLC may use generation data in aggregated, anonymized form for security, moderation and service improvement.
Prohibited uses. In addition to the absolute ban on pornographic, sexually explicit or sexualized nude content under Section 4.1, which results in a permanent ban of the account, you may not use image and video generation to: depict real people in a misleading way or without consent (deepfakes); produce illegal, violent or hateful material or content that incites violence; infringe intellectual property rights; spread misinformation; or circumvent the safety filters of the Platform or of the models. Violations may result in suspension or termination of the account under Sections 12 and 13.
Moderation and retention. Prompts, references and generated content may be analyzed by automated systems and, when necessary, by human review, as described in Section 12.1 of the Privacy Policy. Files are stored in your account and you can request their permanent deletion at any time, as described in Section 12.2 of the Privacy Policy.
Labeling. It is your responsibility to label content as AI-generated whenever the law or the rules of the destination platform require it.

6. YouTube Integration

6.1 Authorization of Access

By connecting your YouTube account to our Platform, you expressly authorize VIRAL DAY LLC to:

Publish videos: Upload content created on our Platform directly to your YouTube channel
Manage published videos: Edit, update, or delete only videos that were published through our Platform
Access basic information: Obtain your channel data such as name, ID, and statistics for videos published through our Platform

6.2 Limitations and Restrictions

Our Platform can ONLY manage videos that were originally published through our services
We do NOT have access to or ability to modify videos you published directly on YouTube through other means
You maintain full control and ownership of your channel and can revoke these permissions at any time

6.3 User Responsibilities

By using YouTube integration, you agree to:

Ensure you have all necessary rights to the content being published
Comply with YouTube Community Guidelines and YouTube Terms of Service
Not use our Platform to publish content that violates copyrights or YouTube policies
Accept that you are solely responsible for content published on your channel

6.4 YouTube Compliance

Our integration is in full compliance with:

YouTube Developer Policies
YouTube Privacy Guidelines

Important: You can disconnect your YouTube account at any time through your account settings on our Platform.

7. TikTok Integration

7.1 Authorization of Access

By connecting your TikTok account to our Platform, you expressly authorize VIRAL DAY LLC to:

Publish videos: Upload content created on our Platform directly to your TikTok profile
Manage published videos: Edit, update, or delete only videos that were published through our Platform
Access basic information: Obtain your profile data such as username, ID, and statistics for videos published through our Platform

7.2 Limitations and Restrictions

Our Platform can ONLY manage videos that were originally published through our services
We do NOT have access to or ability to modify videos you published directly on TikTok through other means
You maintain full control and ownership of your profile and can revoke these permissions at any time

7.3 User Responsibilities

By using TikTok integration, you agree to:

Ensure you have all necessary rights to the content being published
Comply with TikTok Community Guidelines and TikTok Terms of Service
Not use our Platform to publish content that violates copyrights or TikTok policies
Accept that you are solely responsible for content published on your profile

7.4 TikTok Compliance

Our integration is in full compliance with:

TikTok Privacy Guidelines

Important: You can disconnect your TikTok account at any time through your account settings on our Platform.

8. Instagram Reels Integration

8.1 Authorization of Access

By connecting your Instagram account to our Platform, you expressly authorize VIRAL DAY LLC to:

Publish Reels: Upload content created on our Platform directly as Instagram Reels to your profile
Manage published Reels: Edit, update, or delete only Reels that were published through our Platform
Access basic information: Obtain your profile data such as username, ID, and statistics for Reels published through our Platform

8.2 Limitations and Restrictions

Our Platform can ONLY manage Reels that were originally published through our services
We do NOT have access to or ability to modify content you published directly on Instagram through other means
You maintain full control and ownership of your profile and can revoke these permissions at any time

8.3 User Responsibilities

By using Instagram integration, you agree to:

Ensure you have all necessary rights to the content being published
Comply with Instagram Community Guidelines and Instagram Terms of Service
Not use our Platform to publish content that violates copyrights or Instagram policies
Accept that you are solely responsible for content published on your profile

8.4 Instagram Compliance

Our integration is in full compliance with:

Instagram API Terms of Service
Meta/Facebook Developer Policies
Instagram Privacy Guidelines

Important: You can disconnect your Instagram account at any time through your account settings on our Platform.

9. Limitation of Liability

The Platform is provided "as is" without warranties of any kind. To the maximum extent permitted by law, VIRAL DAY LLC disclaims all liability for:

Any damages arising from use of the Platform
Loss of content or data
Service interruptions or technical issues
Third-party actions or content

10. Terms Changes

VIRAL DAY LLC may modify these Terms at any time. We will notify users of material changes via email or platform notification. Continued use after changes constitutes acceptance of the modified terms.

11. Privacy Policy

The use of personal data by the Platform is regulated by our Privacy Policy, which should be read in conjunction with these Terms of Use.

By creating an account, selecting the acceptance checkbox, and completing registration, the user confirms that they have read and acknowledge the Privacy Policy, including that the Platform's data infrastructure is located in the United States and that uploaded video files may be processed for up to 60 (sixty) days in China, Taiwan, and Japan, as further described in the Privacy Policy.

12. Termination

VIRAL DAY LLC reserves the right to suspend or terminate user accounts for violations of these Terms, illegal activities, or behavior harmful to our community, with or without prior notice. In the cases described in Section 4.1 (pornographic content), termination is permanent and no refund is due.

13. User Blocking

We may implement temporary or permanent restrictions on accounts that violate our Terms or negatively impact the Platform experience for other users.

14. Governing Law and Disputes

These Terms are governed by the laws of Delaware, United States. Any disputes will be resolved through binding arbitration in accordance with the American Arbitration Association rules, conducted in Delaware.
